01. Acceptance of Terms

By accessing our website, engaging our services, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

02. Services Provided

Hind Marketing Solutions provides the following services:

• ▸ Cloud Solutions, Hosting & Data Management
• ▸ Digital Marketing (SEO, Social Media, Paid Ads)
• ▸ UI/UX Design & Branding
• ▸ IT Consulting & System Integration
• ▸ Cyber Security Solutions

03. Client Responsibilities

As a client, you agree to:

• ▸ Provide accurate, complete, and timely information required for the project
• ▸ Respond to communication within agreed timelines
• ▸ Ensure all content provided does not infringe third-party rights
• ▸ Comply with all applicable laws and regulations
• ▸ Maintain confidentiality of any proprietary information shared

04. Payment Terms

• ▸ Advance Payment: A non-refundable advance (typically 40-50%) is required before project commencement
• ▸ Milestone Payments: Balance payments are tied to project milestones
• ▸ Invoicing: Invoices are due within 7-15 days of issuance
• ▸ Late Fees: Overdue payments may incur a 2% monthly late fee
• ▸ Currency: All prices are in USD or AED unless otherwise specified

05. Project Delivery & Timelines

Project timelines are estimates and may vary based on client feedback, scope changes, and unforeseen circumstances. Delays caused by the client (non-response, content delays, etc.) will extend the timeline accordingly. Final delivery occurs upon full payment and client approval.

06. Revisions & Scope Changes

• ▸ Each project includes a specified number of revision rounds (typically 2-3)
• ▸ Additional revisions or scope changes will be quoted separately
• ▸ Major scope changes may require a new contract and revised timeline

07. Intellectual Property Rights

Upon full payment, ownership of custom-developed deliverables (code, designs, content) transfers to the client. However:

• ▸ Hind Marketing Solutions retains rights to its pre-existing tools, frameworks, and libraries
• ▸ We may showcase the completed work in our portfolio unless otherwise agreed
• ▸ Third-party components (e.g., open-source libraries) remain under their original licenses

08. Confidentiality

Both parties agree to maintain strict confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the agreement. We may sign an NDA upon request.

09. Limitation of Liability

To the maximum extent permitted by law, Hind Marketing Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption. Our total liability shall not exceed the total fees paid by the client for the specific service in question.

10. Limited Warranty

We provide a 30-day warranty on custom-developed software to fix bugs or defects arising from our work. This warranty does not cover issues caused by client modifications, third-party integrations, or hosting environment changes.

11. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• ▸ Client pays for all completed work up to the termination date
• ▸ Completed deliverables are handed over upon final payment
• ▸ Advance payments are non-refundable

12. Non-Solicitation

During the engagement and for 12 months after, the client agrees not to directly solicit or hire any Hind Marketing Solutions employee or contractor without our written consent.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates (UAE). Any disputes shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Ajman, UAE.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services constitutes acceptance of the revised Terms.
